1. Scope of Services & Deliverables

Bold Clickz provides enterprise-grade digital solutions. The specific scope of work, timelines, and deliverables for Custom Software/App Development, SEO, or Paid Marketing will be defined in a separate Statement of Work (SOW) or formal agreement.

• Scope Creep: Any feature requests, design changes, or marketing revisions outside the originally agreed SOW will be billed separately at our standard hourly/project rates.
• Client Responsibilities: Clients must provide all necessary credentials, brand assets, and approvals in a timely manner. Delays on the client's end will result in adjusted project timelines.

2. Paid Advertising (Google Ads, Meta/Facebook)

When engaging Bold Clickz for Paid Media campaigns, the following strict conditions apply:

• Third-Party Policies: We strictly adhere to the ad policies of Google, Meta, LinkedIn, and other platforms. Bold Clickz is not liable for ad account suspensions, disapprovals, or bans imposed by these third-party platforms.
• Ad Spend: The client is solely responsible for all ad spend budgets billed directly by the advertising platforms. Our agency retainer/management fee does not include your ad spend.
• Performance Guarantees: While we utilize data-driven strategies to maximize ROI, we do not guarantee specific lead volumes, cost-per-click (CPC), or sales, as these depend on market volatility and platform algorithms.

3. Search Engine Optimization (SEO) Limitations

SEO is a long-term, dynamic process. By utilizing our SEO services, you acknowledge that:

• Bold Clickz has no control over the core algorithms of search engines (Google, Bing, etc.). We do not guarantee a #1 ranking or specific placement for any keyword.
• Search rankings can fluctuate daily. We are not liable for sudden drops in traffic caused by external algorithm core updates.

4. Software, Web, and App Development

For WordPress websites, Flutter applications, and custom software builds:

• Testing & Bugs: Clients are given a designated User Acceptance Testing (UAT) period after delivery. Once approved, any further structural bugs or third-party API breakages will require a separate maintenance contract.
• Hosting & Security: Unless explicitly covered in an Annual Maintenance Contract (AMC), the client is responsible for server hosting, SSL renewals, and mitigating malware/hacking attempts post-launch.

5. Intellectual Property (IP) Rights

All source code, graphics, ad copies, and digital assets created by Bold Clickz remain the exclusive property of Bold Clickz until full and final payment is received. Upon complete payment, the IP rights for the final delivered product are transferred to the client. However, we reserve the right to showcase the completed work in our agency portfolio and case studies.

6. Payment Terms & Non-Refundability

A standard advance payment is required before project initiation. Due to the irreversible nature of digital services, consulting, and development hours, all payments made to Bold Clickz are strictly non-refundable. In the event of project cancellation by the client, Bold Clickz retains the right to bill for all hours and resources utilized up to the date of cancellation.

7. Limitation of Liability

In no event shall Bold Clickz, its directors, employees, or partners be liable for any indirect, incidental, special, or consequential damages—including loss of profits, data loss, or business interruptions—arising out of the use or inability to use our services, even if we have been advised of the possibility of such damages.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the honorable courts located in Jaipur, Rajasthan.
